Please read these Terms and Conditions carefully before using nrdybyrd.com or engaging Nrdy Byrd for any services. By accessing our website or working with us, you agree to be bound by these terms. If you do not agree, please do not use our site or services.

1. Services

Nrdy Byrd proveds custom 2D animation, motion design and brand support services for heart-centered entrepreneurs and small businesses. All services are delivered as outlined in a written proposal or service agreement provided to the client prior to project commencement.

Services may include but are not limited to:

  • Custom 2D animated explainer videos
  • Logo animations and motion graphics
  • Social media | digital assets
  • Brand discovery sessions (Chirp Sessions)
  • Mood boards and brand visual direction

2. Chirp Sessions (Discovery Sessions)

A Chirp Session is a 90-minute collaborative brand discovery experience offered by Nrdy Byrd. By booking a Chirp Session, you agree to the following:

  • A non-refundable session fee is due at the time of booking to reserve your spot
  • Sessions are conducted in person or virtually, as agreed upon at the time of scheduling
  • All brand insights, concepts and creative directions explored during the session are confidential
  • Any mood board or brand direction document produced during the session  belongs to the client upon delivery
  • Rescheduling requests mist be made at least 48 hours in advance; same-day cancellations forfeit the session fee

3. Payment Terms

All project fees outlined in a written proposal presented before work begins. By approving a proposal, the client agrees to the payment schedule as stated. Standard payment structure is as follows: 

  • A non-refundable deposit (as stated in the proposal) is required to begin any project
  • Remaining balances are invoiced per the milestone schedule in the proposal
  • Final deliverables will not be released until all outstanding balances are paid in full
  • Invoices unpaid after 15 fays of the due date may incur a late fee of 1.5% per month
  • Nrdy Byrd accepts payment via methods outlined in each project proposal

4. Intellectual Property

4.1 Client-Provided Materials

By submitting logos, images, copy, or other materials to Nrdy Byrd, the client represents and warrants that they own or have the rights to use all submitted content and that it does not infringe an any third-party rights.

4.2 Work Product & Ownership Transfer

Upon receipt of full payment, the client receives full ownership of the final delivered animation or motion design files as specified in the proposal. Nrdy Byrd retains the right to display the completed work in our portfolio, on our website and across social media for promotional purposes, unless the client requests confidentiality in writing.

4.3 Nrdy Byrd Ownership Prior to full Payment

All work product remains the exclusive intellectual property of Nrdy Byrd until payment is received in full. Partial payment does not transfer any rights to the client.

4.4 Website Content

All content on nrdybyrd.com, including but not limited to text, graphics, animations, logos and downloadable assets, is the property of Nrdy Byrd and protected by copyright and intellectual property law. Reproduction, distribution, or commercial use without express written permission is strictly prohibited. 

5. Revisions & Rush Fees

Each project proposal specifies the number of included revision rounds. Additional revisions beyond the agreed scope will be billed at our standard hourly rate. Rush requests (projects requiring delivery faster than the originally agreed timeline) will incur a rush fee as outlined in the proposal or agreed upon in writing prion to commencement of rush work.

6. Project Timeline & Client Responsibilities

Nrdy Byrd will provide an estimated project timeline in the written proposal. Timelines are contingent on timely client feedback and approvals. The client agrees to: 

  • Provide all requires assets, copy and approvals within the timeframes specified
  • Respond to feedback requests within 5 business days unless otherwise agreed
  • Understand that delays caused by late client responses may result in adjusted delivery dates at no fault of Nrdy Byrd

Nrdy Byrd will communicate any timeline changes promptly and in writing .

7. Cancellation Policy

If a client cancels a project after the work has begun, the following applies:

  • All deposits are non-refundable
  • Any work completed up to the cancellation date will be billed at our standard hourly rate, with the deposit applies toward that amount
  • Nrdy Byrd reserves the right to cancel a project if a client becomes unresponsive for 30 or more consecutive days; all complete work will be billed accordingly
  • In the event Nrdy Byrd must cancel a project due to unforeseen circumstances, all fee paid beyond the deposit will be refunded to the client

8. Dispute Resolution

Nrdy Byrd is committed to resolving any concerns quickly and fairly. In the even of a dispute arising from these Terms or our services, both Parties agree to first attempt resolution through direct, good-faith communication. If direct communication does not resolve the matter within 30 days, the Parties agree to pursue mediation before initiating any formal legal proceedings. This commitment to mediation reflects our belief in collaborative problem-solving, the same values that guide every client relationship we build.

9. Limitation of Liability

Nrdy Byrd’s total liability for any claim arising from our service shall not exceed the total amount paid by the client for the specific project in question. We are not liable for indirect, incidental, or consequential damage, including but not limited to lost profits, lost data, or business interruption, even if advised of the possibility of such damages.

10. Website Use

By accessing nrdybyrd.com, you agree to use the site for lawful purposes only. You may not:

  • Distribute harmful, offensive, or unlawful content through our site
  • Infringe on the intellectual property rights of Nrdy Byrd or any third party
  • Attempt to gain unauthorized access to any part of the website or its infrastructure

Nrdy Byrd reserves the right to terminate access for any user who violates these terms.

11. Disclaimers

Our website and all information, content and services are provided on an “as is” and “as available” basis. Nrdy Byrd makes no representations or warranties of any kind, express or implied, regarding the accuracy, completeness, or reliability of any content on the site. We reserve the right to modify or discontinue any service or website feature at any time without notice.

12. Changes to These Terms

Nrdy Byrd reserves the right to update these Terms & conditions at any time. Changes will be posted on this page with an updated “Last Updated” date. Continued use of our website or engagement of our services after changes are posted constitutes your acceptance of the revised terms.

13. Governing Law

These Terms & Conditions are governed by the laws of the Commonwealth of Pennsylvania. Any disputes arising from the Terms or our service that proceed beyond mediation shall be resolved in the courts of Allegheny County, Pennsylvania.
